Services, you acknowledge that you have read, understood, and agree to be bound by these

1. Scope of Services
RAIS provides AI-enabled surveillance, security, monitoring, analytics, and related technology
services designed for lawful business and operational use. The Services may include video
processing, audio processing, alerts, reporting, storage, event detection, and other features
made available by RAIS from time to time.
2. Eligibility and Authority
You represent and warrant that you are legally capable of entering into these Terms and, if you
are entering into these Terms on behalf of an entity, that you have all necessary authority to bind that entity. The Services are intended for business and operational use only, and not for
unlawful, abusive, deceptive, or unauthorized surveillance activities.
3. Compliance With Law
You are solely responsible for determining whether your use of the Services complies with all applicable laws, regulations, directives, ordinances, codes, and industry obligations, including those relating to privacy, surveillance, notice, consent, employee monitoring, recording, data protection, and security. RAIS does not and will not determine whether your deployment or use of the Services is lawful, and RAIS disclaims responsibility for your compliance obligations.
4. Customer Content
As between you and RAIS, you retain all right, title, and interest in and to the data, video, audio, images, recordings, text, metadata, logs, and other materials submitted to, collected by, or generated through the Services on your behalf or under your account (“Customer Content”), subject to the rights you grant under these Terms and any applicable agreements. You grant RAIS a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, transmit, analyze, display, and otherwise use Customer Content solely as necessary to provide, maintain, secure, support, and improve the Services, to comply with law, and to enforce these Terms. 5. Acceptable Use
You agree that you will not, and will not permit any third party to, use the Services:
- In violation of any applicable law or regulation.
- For unauthorized surveillance, monitoring, recording, tracking, or interception.
- In a manner that violates privacy rights, publicity rights, confidentiality obligations, or other third-party rights.
- To upload, transmit, or distribute malicious code, unlawful content, or content that is
defamatory, harassing, threatening, abusive, or fraudulent.
- To reverse engineer, interfere with, circumvent, disrupt, or compromise the integrity, security, or
functionality of the Services.
- To access, disclose, or use Customer Content without authorization.
- For any purpose inconsistent with the intended business use of the Services.

6. AI Outputs and System Limitations
You acknowledge that the Services may produce automated outputs, alerts, classifications,
detections, summaries, or recommendations that are probabilistic in nature and may contain

7. Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activity associated with your account. You must promptly notify RAIS of any unauthorized access, suspected compromise, or security incident involving your account, devices, or Customer Content.
8. Fees and Payment
If the Services are provided on a paid basis, you agree to pay all fees, charges, and applicable
taxes in accordance with the applicable order form, invoice, subscription plan, or written
agreement. Unless otherwise required by law or expressly stated in writing by RAIS, all fees are
non-refundable.
9. Suspension and Termination
RAIS may suspend, restrict, disable, or terminate your access to all or part of the Services,
immediately and without liability, if RAIS determines in its reasonable discretion that:
- You have violated these Terms.
- Your use of the Services presents a security, legal, operational, reputational, or compliance
risk.
- You have failed to pay amounts due.
- Suspension or termination is required by law, court order, or a governmental request.
10. Confidentiality
Each party may receive confidential or proprietary information from the other party in connection with the Services. The receiving party agrees to use such information solely for purposes of performing under these Terms, to protect it using at least reasonable care, and not to disclose it except as authorized by these Terms, required by law, or approved in writing by the disclosing party.
11. Intellectual Property
RAIS retains all right, title, and interest in and to the Services, including all underlying software,
systems, models, workflows, interfaces, documentation, trade secrets, and improvements, except for Customer Content and any rights expressly granted in writing. No rights are granted to you except as expressly stated in these Terms.

12. Privacy and Data Protection
RAIS will implement commercially reasonable administrative, technical, and organizational
safeguards designed to protect data under its control. You acknowledge that no method of
transmission or storage is completely secure and that RAIS does not guarantee against all
unauthorized access, loss, corruption, disclosure, or breach. Any applicable Privacy Policy, if
published by RAIS, is incorporated into these Terms by reference.
13. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE
MAXIMUM EXTENT PERMITTED BY LAW, RAIS DISCLAIMS ALL WARRANTIES, WHETHER
EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. RAIS DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPLETELY SECURE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RAIS BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR
PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL,
BUSINESS INTERRUPTION, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW,
RAIS’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES
OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO RAIS FOR THE
SERVICES DURING THE [THREE / SIX / TWELVE] MONTHS IMMEDIATELY PRECEDING
THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
You agree to defend, indemnify, and hold harmless RAIS and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, demands, actions, proceedings, damages, losses, liabilities, fines, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- Your use or misuse of the Services.
- Your Customer Content.
- Your violation of these Terms or any applicable law.
- Your infringement, misappropriation, or violation of any third-party right.
- Your deployment, operation, configuration, or monitoring practices.
16. Dispute Resolution and Arbitration
Except where prohibited by law, any dispute, claim, or controversy arising out of or relating to
these Terms or the Services shall be resolved by binding arbitration conducted in English by a
neutral arbitrator. The arbitration shall be conducted in a mutually agreed location or remotely, under procedures that are commercially reasonable and consistent with applicable law. Either party may seek temporary, preliminary, or injunctive relief in a court of competent jurisdiction to protect confidential information, intellectual property, security interests, or the integrity of the Services.
17. Governing Law
These Terms and any dispute arising under them shall be governed by and construed in
accordance with the laws of the United States and, to the extent applicable, the laws of the state in which RAIS is organized or principally located, without regard to conflict-of-law principles.
18. Changes to Terms
RAIS may modify these Terms from time to time in its sole discretion. Any updated version will
be effective when posted or otherwise made available to you, unless a later effective date is
stated. Your continued use of the Services after the effective date of any updated Terms
constitutes acceptance of the revised Terms.
19. Entire Agreement
These Terms, together with any order form, service schedule, Privacy Policy, Acceptable Use
Policy, Data Processing Addendum, and any other documents expressly incorporated by
reference, constitute the entire agreement between you and RAIS regarding the Services and supersede any prior or contemporaneous understandings on the same subject matter.
